I'm pretty sure I want to change from sole prop. to LLC. I'm a one man show and I'm looking to cover my personal assets. I got some software, LLC Maker, from nolo.com (law for everyone) for $69.95. it looks pretty good. Anyone know anything about this software or nolo.com? Should I get an attorney to do this for $900.00 instead?

| What's the benefit of going LLC instead of Corporation?
I went Corporation, because I had a couple of books at the time that steered me away from LLC, just can't remember what the reasons were at the moment.

| Yeah, I'm S-Corp. In fact I have until Tuesday to file and keep my S corp status for the coming year. I'm a terrible procrastinator.
CV...do a lot of research. The type of business structure you choose has profound effects on taxation benefits and other things.

| S-Corp. You can limit liability, and take a percentage of your profits as distributions of income, which are not subject to payroll taxes.
That is, unless you think that Social Security is a good investment

| I went LLC from sole proprietor 1 year ago. I did that to protect from being sued personally. My company can be but I can't. As far as taxes nothing changed. Now that I have hired some folks and have payroll I may change to S- Corp but I doubt it.
